Welcome to Huaxin Printing. These Terms of Service ("Terms") govern your use of our B2B manufacturing services, website, and related services. By engaging with Huaxin Printing, you agree to be bound by these Terms.
1. Service Scope and Eligibility
1.1 B2B Services Only
Huaxin Printing provides business-to-business (B2B) manufacturing services exclusively. We do not engage in retail business or direct-to-consumer sales. Our services are available only to:
- Publishers engaged in book printing or board game manufacturing
- Distributors building private label products
- Museums, galleries, and institutions seeking book plus products
- Registered business entities with valid commercial credentials
1.2 Service Lines
Our integrated solution services include:
- • Book Production: Prepress, printing, binding, novelty books, and board games
- • Assembling: Careful planning and accurate execution with automation
- • Product Designing: Market research, structural design, and rapid prototyping
- • Accessory Sourcing: Professional procurement with quality assurance
2. Quotations and Orders
2.1 Quotation Process
All quotations provided by Huaxin Printing are valid for 30 days from the date of issue unless otherwise specified. Quotations are based on the specifications, quantities, and requirements provided by the client at the time of inquiry.
2.2 Order Confirmation
An order is considered confirmed only upon receipt of a signed purchase order or written acceptance from the client, along with any required deposit payment. Huaxin Printing reserves the right to accept or decline any order at our discretion.
2.3 Minimum Order Quantities
As a B2B manufacturer specializing in large-volume production, minimum order quantities (MOQ) apply to all services. Specific MOQ requirements will be communicated during the quotation process and vary based on product type and customization level.
3. Pricing and Payment Terms
3.1 Pricing
All prices are quoted in US Dollars (USD) unless otherwise agreed in writing. Prices are subject to change based on raw material costs, exchange rate fluctuations, and other market conditions. Confirmed orders will honor the quoted price for the duration of the production cycle.
3.2 Payment Terms
Standard payment terms are:
- • 30% deposit upon order confirmation
- • 70% balance before shipment
Alternative payment terms may be negotiated for established clients with approved credit terms. Payment methods include wire transfer (T/T), Letter of Credit (L/C), and other mutually agreed methods.
3.3 Late Payment
Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Huaxin Printing reserves the right to suspend production or withhold shipment for accounts with overdue balances.
4. Production and Delivery
4.1 Production Timeline
Production timelines are estimated based on current capacity and material availability. While we strive to meet agreed-upon delivery dates, timelines are approximate and subject to factors beyond our control, including but not limited to material shortages, equipment failures, and force majeure events.
4.2 Client-Provided Materials
Clients are responsible for providing print-ready files, artwork, and specifications according to our technical guidelines. Delays caused by inadequate or incorrect materials provided by the client may result in extended production timelines and additional charges.
4.3 Proofing and Approval
Huaxin Printing will provide proofs (digital, physical, or both as agreed) for client approval before mass production. Production will not commence until written approval is received. Once approved, the client assumes responsibility for any errors in the approved proof.
4.4 Delivery and Shipping
Delivery terms follow Incoterms 2020 standards (typically FOB Shenzhen unless otherwise agreed). The client is responsible for arranging international shipping or may request Huaxin Printing to coordinate logistics at an additional cost. Risk of loss transfers to the client upon delivery to the carrier.
5. Quality Assurance and Warranties
5.1 Quality Standards
Huaxin Printing maintains ISO 9001:2015 certification and adheres to industry-standard quality control processes. We warrant that products will be manufactured in accordance with approved specifications and industry standards.
5.2 Acceptable Tolerances
Industry-standard tolerances apply to all manufacturing processes, including but not limited to:
- • Color variation within acceptable commercial printing standards
- • Dimensional tolerances of ±2mm for finished products
- • Quantity variance of ±5% for large volume orders
5.3 Defect Claims
Claims for defective products must be submitted in writing within 7 days of receipt, accompanied by photographic evidence and detailed description. Huaxin Printing will investigate all claims and, if validated, will offer remedies including replacement, credit, or refund at our discretion.
5.4 Limitation of Warranty
Our warranty is limited to the replacement or credit of defective products. Huaxin Printing shall not be liable for consequential, incidental, or indirect damages arising from product defects, including but not limited to lost profits, business interruption, or reputational damage.
6. Intellectual Property Rights
6.1 Client-Owned IP
The client retains all intellectual property rights to designs, artwork, content, and trademarks provided to Huaxin Printing. By submitting materials, the client grants Huaxin Printing a non-exclusive license to use such materials solely for the purpose of fulfilling the manufacturing order.
6.2 Client Representations
The client represents and warrants that:
- • They own or have obtained all necessary rights to materials provided
- • Materials do not infringe upon any third-party intellectual property rights
- • They will indemnify Huaxin Printing against any IP infringement claims
6.3 Confidentiality
Huaxin Printing will maintain confidentiality of client designs, specifications, and proprietary information. We will not reproduce, disclose, or use such information for any purpose other than fulfilling the client's order without prior written consent.
6.4 Portfolio Use
Unless explicitly restricted by the client in writing, Huaxin Printing reserves the right to use completed projects in our portfolio, marketing materials, and case studies, with appropriate credit to the client.
7. Compliance and Certifications
7.1 Regulatory Compliance
Huaxin Printing maintains certifications including FSC, SMETA, ISO 14001, and ISO 9001:2015. We comply with applicable Chinese manufacturing regulations and international standards for product safety and environmental responsibility.
7.2 Client Compliance Obligations
The client is responsible for ensuring that products comply with all applicable laws and regulations in their target markets, including but not limited to safety standards, labeling requirements, and import regulations.
7.3 Testing and Certification
If specific testing or certification is required (e.g., CPSIA, EN71, ASTM), the client must specify these requirements during the quotation phase. Additional testing services can be arranged at the client's expense.
8. Cancellation and Modifications
8.1 Order Cancellation
Orders may be cancelled by the client before production commences, subject to a cancellation fee covering administrative costs and any materials already purchased. Once production has started, orders cannot be cancelled, and the client remains obligated to pay the full order amount.
8.2 Specification Changes
Changes to specifications after order confirmation may result in additional charges and extended production timelines. All change requests must be submitted in writing and approved by Huaxin Printing before implementation.
9. Limitation of Liability
To the maximum extent permitted by law, Huaxin Printing's total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific order giving rise to the claim.
Huaxin Printing shall not be liable for:
- • Indirect, incidental, consequential, or punitive damages
- • Loss of profits, revenue, data, or business opportunities
- • Delays or failures caused by force majeure events
- • Errors resulting from client-provided materials or specifications
10. Force Majeure
Huaxin Printing shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to:
- • Natural disasters, epidemics, or pandemics
- • Government actions, trade restrictions, or customs delays
- • Labor disputes, strikes, or lockouts
- • Material shortages or supplier failures
- • Utility failures or transportation disruptions
11. Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles.
11.2 Dispute Resolution Process
In the event of any dispute arising from these Terms or our business relationship:
- The parties shall first attempt to resolve the dispute through good-faith negotiation
- If negotiation fails, the parties may pursue mediation through a mutually agreed mediator
- Any unresolved disputes shall be submitted to arbitration in Shenzhen, China, under the rules of the China International Economic and Trade Arbitration Commission (CIETAC)
11.3 Language
The English version of these Terms shall be the authoritative version for interpretation purposes. Any translations are provided for convenience only.
12. General Provisions
12.1 Entire Agreement
These Terms, together with any signed purchase orders and written agreements, constitute the entire agreement between the parties and supersede all prior understandings, agreements, or representations.
12.2 Amendments
Huaxin Printing reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with the revision date. Continued use of our services after changes constitutes acceptance of the modified Terms.
12.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12.4 Waiver
No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term or condition.
12.5 Assignment
The client may not assign or transfer these Terms or any rights hereunder without the prior written consent of Huaxin Printing. Huaxin Printing may assign these Terms to any affiliate or successor entity.
